Finova Corp., the Scottsdale, Az. commercial lender, has now
become the target of a takeover attempt by a group including GE
Capital Corp. and Goldman Sachs Group Inc. GE Capital and Goldman
Sachs have offered Finova's creditors a deal to manage bankrupt
Finova's assets and provide $7 billion in financing to help with
its restructuring. That deal, which would have to be approved
by the U.S. Bankruptcy Court, would derail an earlier agreement
by Finova to be bailed out by Berkadia LLC, a joint venture between
Warren Buffet's Berkadia Hathaway Inc. and Leucadia National Corp.

LTV Corp., the bankrupt Cleveland, Oh. Steel maker, may have to
move quickly in its attempts to resolve a labor dispute with its
workers or face the possibility of going out of business. LTD,
which filed Chapter 11 last December, says it has to cut costs
by more than $1 million a day through reductions in employee benefits.
LTV's warnings could be in part a bargaining tactic, but observers
concede that the company cannot go on losing money for much longer.

Motorola Inc., Schaumburg, Il., received word that Standard &
Poor's has downgraded its long-term corporate credit and senior
unsecured debt ratings from A to A-minus. In addition, S&P
lowered the company's short-term corporate credit and commercial
paper ratings from A-1 to A-2. Motorola, which reported a first
quarter operating loss of $206 million, has been trying to reduce
costs, having announced plans to pare its payroll by 26,000 employees
and reducing operating expenses this year by $2 billion. Most
recently, Motorola said it would reduce its payroll by 600 employees
at its cellular phone facility in Chihuahua, Mexico.

Lechters Inc., a Harrison, N.J.-based retailer of housewares
products, has now filed Chapter 11 in the U.S. Bankruptcy Court
for the Southern District of New York. In conjunction with the
filing the company also arranged $85 million in financing through
Fleet Retail Finance Inc. and Back Bay Capital Funding so that
it can continue operating as it reorganizes and tries to establish
itself among the high-end sellers of kitchen gadgets. Still, some
are worried about Lechters' chances of turning itself around.
The retailer, which has failed to arrange sufficient credit from
its vendors, reported a loss last year of $102 million on sales
of $405 million. Over the winter it said it would close 166 of
its stores and slash its payroll by 30%. In its filing Lechters
listed assets and liabilities of $129 million and $111 million
respectively.
Teligent Inc., as expected, filed Chapter 11, after failing to
raise $350 million that it needed to meet the terms of an $800
million credit facility. As of the end of last year the Vienna,
Va. seller of telephone and Internet services, which has been
unprofitable since starting up four years ago, faced long-term
debt of more than $1.4 billion and had assets of about $1.2 billion.

AOL Time Warner Inc., in a filing with the Securities and Exchange
Commission, estimated that restructuring in the wake of the merger
of America Online and Time Warner will cost as much as $1 billion.
About $565 million of that is in the form of severance payments
related to 2,400 layoffs. Another $400 million stems from its
decision to shutter its chain of 150 Warner Bros. stores. AOL
Time Warner said that it took first quarter charges related to
consolidation and layoffs of $965 million, which will be classified
as goodwill and amortized over many years. The Manhattan, N.Y.-based
media giant also wrote off $71 million in merger costs during
the first quarter.
Comair Inc., grounded by a pilots' strike for nearly two months
now, said it will cut twenty aircraft from its fleet, lay off
400 nonunion employees and cut another 200 pilot positions. Cincinnati-Oh.-based
Comair and its parent company, Delta Air Lines of Atlanta, Ga.,
have been losing $4 million a day due to the strike. The cutbacks
at Comair are expected to reduce daily losses to between $1.5
million and $2 million. All of Comair's flights have been canceled
through mid-July.
Navistar International Corp., a Chicago, Il. maker of trucks
and diesel engines, reported its second quarter net dropped 97%--to
$3 million. Citing the downturn in the market for heavy trucks,
Navistar's revenue for the quarter declined 25%--to $1.8 billion.
On the positive side, its meager profit is a turnaround after
two quarters of losses. The company also expects to eke out a
profit for the third quarter and hopes to be operating in the
black for the year. Like many truckmakers, Navistar is suffering
from both a glut of trucks on the market after years of overproduction
as well as high fuel costs which are hurting the trucking industry.
Hewlett-Packard Co. reported its second quarter net fell 66%--$319
million. The results, which were slightly ahead of analysts' expectations,
included writedowns of $103 million and extra charges of $52 million
related to calling off an earlier-planned expansion of its inkjet-printer
operations. Revenue for the period declined 3.5%--to $11.6 billion.
The Palo Alto, Ca.-based maker of computers and printers also
warned that the ongoing economic slump could drag down revenue
as much as 5% in the third quarter.
Krispy Kreme Doughnuts Inc. saw its stock price jump 14% after
it announced strong first quarter results. The Winston-Salem,
N.C. chain of donut shops reported its first quarter net soared
89%--to $5.7 million. Total sales at company-owned stores increased
19%--to $61 million, while sales at franchised outlets jumped
52%--to $80 million. Sales at stores open at least one year increased
11%.
Bel Fuse Inc., a Jersey City, N.J. maker of fuses and networking
components, has expanded overseas with its purchase of E-Power
Co., a Hangzhou, China developer of power-conversion devices,
for an undisclosed amount of cash. The Chinese expansion comes
close on the heels of Bel Fuse's acquisition of Current Concepts
Inc., a closely-held Westborough, Ma. research-and-development
company, for an undisclosed amount. Current Concepts specializes
in developing power converters.

Washington Group International Inc., a big Boise, Id. construction
company, filed Chapter 11 in the U.S. Bankruptcy Court in Nevada
along with twenty-two of its subsidiaries. Another seventy or
so partnerships, joint ventures and subsidiaries are not affected
by the filing. The company's secured creditors are likely to end
up owning the equity assets of Washington Group after reorganization,
while unsecured creditors are expected to be paid through the
normal course of business or after the reorganization plan is
confirmed. Washington Group intends on continuing operations as
it reorganizes. The firm is also embroiled in a battle with Raytheon
Co. regarding a unit that Washington Group bought from Raytheon

Comdisco Inc., a provider of leasing and other technology services,
announced a plan to reduce annual costs by $145 million by reducing
its payroll, closing facilities and cutting back on expenses in
a number of other areas. The firm has already laid off 250 employees
in recent months. Despite the announced intention to restructure,
analysts believe that Comdisco may end up putting some of its
assets or even the entire company on the selling block. In fact,
the firm recently retained Goldman, Sachs & Co. and McKinsey
& Co. to help it consider strategic alternatives. In its recent
second quarter, the Rosemont, Il. firm reported a second quarter
net loss of $54 million, including $100 million in write-offs
related to nonperforming loans. Its loss from operations was $8
million. Revenue declined 6%--to $940 million.
Computer Personality Systems Inc., a Pipersville, Pa. company

Integrated Health Services Inc., in a recent request to extend

on restructuring and losses on its Medicare operations. Integrated

Dairy Mart Convenience Stores Inc. said it will
either sell or close some 200 underperforming retail outlets (about
36% of its stores). At the same time the Hudson, Oh. company reported
a fourth quarter net loss of $22.5 million, more than double the
loss in the year-earlier period. The company blamed higher expenses,
lower profits, particularly on its gasoline sales. Revenue for
the period increased 16%--to $174 million. The retailer recently
agreed to be taken private by a firm controlled by Dairy Mart's

NOTE 1751: Much of the analysis of pending
bankrupt-legislation reform has focused on
the effects the reform may have on debtors. While the aim of the
bills in the House and the Senate is to make it tougher to escape
debts, some analysts have also pointed to the potential negative
effects the bill could have on creditors. Among the provisions
are those that would limit a judge's discretion in establishing
or extending certain deadlines. An imposition of artificial deadlines
could make it harder for some debtors, particularly when they're
small businesses, to reorganize. Deadlines could also force debtors
that are liquidating to try to sell off assets when market conditions
are down rather than waiting for the economy to pick up again.
